This Referral Agreement ("Agreement") is made and entered into on January 19, 2026 (the “Effective Date”), by and between Fryburger Consulting, LLC. DBA nReach, with an address of Cincinnati, Ohio, 45226, USA, and , with an address of , (herein referred to as “Candidate”), collectively referred to as “Parties”.
Referrer agrees to introduce Candidate to one or more job opportunities (each, an “Introduced Opportunity”). Introductions may be made directly or indirectly and may include introductions to employers, recruiters, or hiring intermediaries.
Candidate agrees to pay Referrer a referral fee of Two Thousand U.S. Dollars (US $2,000) (“Referral Fee”) if Candidate is hired into any position arising from an Introduced Opportunity.
The Referral Fee applies if Candidate is hired into an Introduced Opportunity within twelve (12) months of Referrer’s initial introduction of that opportunity to Candidate (“Referral Period”).
The obligation to pay the Referral Fee is triggered upon Candidate’s acceptance of an offer of employment resulting from an Introduced Opportunity, regardless of the length or continuation of employment.
The Referral Fee shall be paid as a lump-sum payment, by electronic transfer, and is due within ninety (90) days of Candidate’s hire date.
Candidate shall not, directly or indirectly, circumvent Referrer by pursuing, accepting, or continuing employment with an Introduced Opportunity in a manner intended to avoid payment of the Referral Fee. This obligation applies regardless of whether the employment relationship is initiated, modified, or finalized without Referrer’s further involvement.
Candidate may not terminate this Agreement during the twelve (12) month Referral Period following an introduction by Referrer.
Referrer makes no representations or warranties regarding Candidate’s job placement, compensation, role, employer, or duration of employment.
All Referral Fees paid under this Agreement are non-refundable under any circumstances, including but not limited to termination of employment.
The parties are independent contractors. Nothing in this Agreement creates an employment relationship, partnership, joint venture, or agency relationship between the parties.
Each party agrees to keep confidential any non-public information received in connection with referrals, job opportunities, or communications under this Agreement, unless disclosure is required by law.
This Agreement shall be governed by and construed in accordance with the laws of the State of , without regard to conflict-of-law principles.
This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous discussions or agreements. Any amendment must be in writing and signed by both parties.
If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
IN WITNESS WHEREOF, the parties have executed this Agreement as of the Effective Date.

BY SIGNING, YOU ARE REPRESENTING THAT YOU HAVE THE AUTHORITY TO ENTER INTO THIS AGREEMENT ON YOUR COMPANY'S BEHALF (OR OTHER LEGAL ENTITY). IF YOU DO NOT HAVE SUCH AUTHORITY OR DISAGREE WITH THE TERMS AND CONDITIONS CONTAINED HEREIN, DO NOT SIGN.
